Terms of Service

1. Scope

These Terms of Service (the "Terms") govern your use of nanohana (the "Service"). By using the Service, you agree to these Terms as well as any related policies, guidelines, or supplemental conditions displayed or referenced in connection with the Service.

The authoritative version of these Terms is the Japanese version. English and other translated versions are provided for convenience only. In the event of any inconsistency, the Japanese version will prevail.

2. Description of the Service

The Service is a global communication service where users from around the world gather at the top of each hour and join anonymous four-person voice conversations. The Service may include AI-based matching, automatic translation, talk history, billing features, and related support tools.

Specific features, availability, supported devices, supported languages, operating hours, and eligibility conditions may change, be added, or be suspended based on operational needs, external service dependencies, legal requirements, or security considerations.

3. Eligibility

You may use the Service only if doing so is lawful in your country of residence or place of use and if you meet the applicable minimum age requirements. In some jurisdictions, minors may need consent from a parent or legal guardian.

You must provide truthful and accurate information regarding your age, country of residence, consent status, and other registration details, and you must update that information promptly if it changes.

4. Account Management

You are responsible for managing your account and authentication methods. You may not allow third parties to use your account or transfer, lend, sell, or change the registered identity of your account.

We may refuse registration, suspend use, require identity verification, or take other necessary measures if we believe submitted information is false, incomplete, impersonated, or associated with misuse.

5. Prohibited Conduct

You may not engage in illegal conduct, conduct against public order or morality, infringement of third-party rights, discrimination, hate speech, harassment, threats, defamation, fraud, impersonation, praise of terrorism, child exploitation, illegal drug trading, financial crime solicitation, sexual exploitation, spam, service disruption, reverse engineering, unauthorized access, bot usage, or any other conduct we consider inappropriate.

You must also refrain from statements, topic submissions, profile displays, solicitations, or other conduct that is unlawful or seriously inappropriate not only in your own jurisdiction but also in the jurisdictions of your conversation partners where relevant.

6. Recording, AI Features, and Anonymous Use

The Service is designed for anonymous participation. You may not record, film, screen-capture, reproduce, redistribute, or share talks with third parties. This restriction does not limit records we maintain where required by law or necessary for safety, audits, or fraud prevention.

The Service uses automated features such as AI-based matching, automatic translation, speech recognition, and fraud detection. Translation quality, speech-recognition quality, naturalness of expression, network quality, and related performance may vary by language, region, network conditions, device, and third-party service availability, and are not guaranteed.

You represent that you have the necessary rights to any topics, statements, or other content you provide and that such content may be processed as needed to operate the Service.

7. Billing and Subscriptions

Paid features may include subscriptions and additional purchases. On iOS, billing is handled through App Store In-App Purchase; on Android, through Google Play Billing; and on the web, through Stripe.

Displayed currency, tax handling, currency conversion, automatic renewal, billing date, cancellation method, receipt issuance, refund channel, and other billing conditions are governed by the relevant platform or payment provider. You are responsible for checking the latest terms displayed by that platform before purchase.

Recurring subscriptions may renew automatically unless canceled through the relevant platform. Renewal management, cancellation timing, and billing dates are determined by the relevant platform's systems.

7-2. Talk Time Consumption and Balance Management

Users maintain a "talk time balance" (measured in minutes) that is consumed in real-time at one-second intervals during talks. The balance is shared across iOS, Android, and web platforms under the same account.

Starting a talk requires enough balance for the selected talk duration (27 or 57 minutes). If your balance is insufficient, you may purchase additional time in one-minute increments. The system automatically calculates the minimum number of minutes needed to reach the selected duration.

Talk time is consumed in first-in-first-out (FIFO) order, prioritizing entitlements with the nearest expiration date. Unused time expires at the end of its validity period and does not roll over to the next period.

If you leave a talk, the unconsumed portion from the moment of departure is immediately refunded to your balance, retaining the original entitlement's expiration date. If a matching session times out due to insufficient participants (fewer than four), no balance is consumed.

When your subscription renews each month, talk time corresponding to your plan is added to your balance. Any unused time from the previous period expires upon renewal and cannot be carried forward.

7-3. Expiration and Balance Expiry Notifications

Purchased or granted talk time has an expiration date. Monthly subscription grants expire at the next renewal date, and all other purchased or granted talk time expires 12 months from the grant date for EU residents and 1 month from the grant date for non-EU residents.

You will receive notifications three days, one day, and on the day before expiration via in-app and push notifications. Email notifications are also sent to users who have enabled email notifications.

If push notifications cannot be delivered (e.g., app is uninstalled), we consider sending to the registered email address to constitute reasonable notification effort.

8. Refunds and Cancellations

As a rule, the Service does not process refunds directly within the app. Whether refunds, reversals, chargebacks, or other payment remedies are available depends on the applicable platform (iOS: App Store, Android: Google Play, Web: Stripe) and law.

If you wish to request a refund, please follow the standard procedures provided by your platform. We are not responsible for refund decisions made by each platform.

Nothing in these Terms limits non-waivable consumer rights such as withdrawal rights, cancellation rights, statutory refund rights, or other consumer protections granted by mandatory law in your country of residence.

9. Intellectual Property

All intellectual property rights in the Service, app, website, design, logos, software, text, images, databases, and related materials belong to us or our legitimate licensors.

You may not reproduce, modify, redistribute, or otherwise use Service content beyond what is necessary to use the Service as intended.

10. Suspension and Termination

We may suspend or terminate your access, restrict your account, or remove content without prior notice if you violate these Terms, if required by law or regulators, if safety or operational needs require action, if fraud or misuse is suspected, or if payment obligations are not met.

You may request account deletion through the procedures provided in the app. Post-termination data handling is governed by the Privacy Policy and applicable law.

11. Disclaimer and Limitation of Liability

The Service is provided on an "as is" basis. We do not guarantee completeness, accuracy, fitness for a particular purpose, uninterrupted availability, absence of defects, or non-infringement.

We are not responsible for disputes between users, communication failures, device issues, outages of third-party services, translation errors, speech-recognition errors, processing by payment providers or app stores, changes in law, or other causes beyond our reasonable control.

To the maximum extent permitted by applicable law, our liability is limited to direct and ordinary damages and shall not exceed the amount paid by the relevant user to the Service during the 12 months preceding the event giving rise to the claim, except where such limitation is not allowed by law or where we acted intentionally or with gross negligence.

12. International Availability and Legal Compliance

The Service is offered globally, but some features may be unavailable depending on country of residence, current location, payment method, economic sanctions, export controls, app-store rules, local law, or other legal or operational constraints. We may restrict or block registration, purchases, or access in specific countries or regions where necessary.

You may not use the Service for any purpose that violates economic sanctions, export-control laws, anti-organized crime requirements, or other mandatory laws. If we suspect such violations, we may refuse payment, suspend access, restrict the account, or take other necessary action.

13. Changes to the Terms

We may amend these Terms in response to changes in law, service features, security requirements, billing conditions, or operational policies.

Where changes are material, we may provide notice through in-app messaging, website publication, email, or other reasonable means. Continued use of the Service after such changes may be treated as acceptance of the updated Terms where permitted by law.

14. Governing Law and Jurisdiction

These Terms and all matters related to the Service are governed by the laws of Japan.

Any dispute arising out of or relating to the Service shall be subject to the exclusive jurisdiction of the courts of Japan as the court of first instance, except to the extent mandatory consumer-protection laws grant users a different forum or protection that cannot be waived.

15. Severability and Contact

If any provision of these Terms is held invalid or unenforceable in a particular country or region, that provision will be interpreted or modified only to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
